These Terms of Service govern your use of ExitNiq. By creating an account or using the service you agree to these terms.
1. The service
ExitNiq provides AI-driven exit interviews and handoff document generation. We may modify, add, or remove features over time.
2. Your account
You are responsible for maintaining the security of your credentials and for activity under your account. Notify us immediately at security@exitniq.com if you suspect unauthorized access.
3. Acceptable use
You agree not to:
- Use the service for unlawful purposes or to violate third-party rights
- Send interview links to people who have not been informed they will be interviewed
- Attempt to circumvent rate limits, security controls, or audit logging
- Reverse-engineer or scrape the service
- Submit content that is unlawful, harassing, or infringing
- Use the service to process protected health information (PHI) without a signed Business Associate Agreement
4. Subscription and billing
Paid plans are billed monthly or annually in advance through Lemon Squeezy. Fees are non-refundable except where required by law. We may change pricing with 30 days' notice.
The Starter plan includes up to 5 exits per month. The Growth plan includes unlimited exits. Plan limits reset at the start of each billing cycle.
5. Customer data
You retain all rights in the data you upload (the "Customer Data"). You grant us a limited license to host, process, and display Customer Data solely to provide the service. We will not access Customer Data except as necessary to operate the service, to comply with law, or with your consent.
6. AI-generated content
The handoff document is generated by an AI model from the interview transcript. We make no warranty that it is complete or accurate. Treat it as a draft to review, not a final record.
7. Intellectual property
ExitNiq retains all rights in the service, including the software, branding, and documentation. Nothing in these terms transfers our IP rights to you.
8. Confidentiality
Each party agrees to keep the other's confidential information confidential and to use it only as necessary for the service.
9. Termination
You may cancel at any time from Settings → Billing. We may suspend or terminate accounts that violate these terms or pose a security risk. Upon termination we will retain Customer Data for up to 30 days before permanent deletion, unless you instruct us otherwise in writing.
10. Disclaimers
The service is provided "as is" without warranties of any kind. We do not warrant that the service will be uninterrupted, secure, or error-free.
11. Limitation of liability
To the maximum extent permitted by law, our liability is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
12. Indemnification
You agree to indemnify ExitNiq for claims arising from your violation of these terms or misuse of the service.
13. Governing law
These terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts of Delaware.
14. Changes to these terms
We may update these terms. Material changes will be announced by email and via in-app notice at least 30 days before they take effect. Continued use of the service after the effective date constitutes acceptance.
